KINDLY PERUSE OUR TERMS AND CONDITIONS PRIOR TO UTILIZING THE PLATFORM, AS YOUR USAGE THEREOF SIGNIFIES YOUR ACCEPTANCE AND LEGALLY BINDING COMMITMENT TO ADHERE TO THESE PROVISIONS.


In adherence to principles of honesty and transparency, we have endeavored to delineate the ensuing pages with utmost clarity, outlining the pivotal terms and their direct implications on your person. We implore you not to overlook any sections, as there might exist pertinent matters that hold significance to you.


Definitions:
"Company" refers to Maheeda Grey Carers Ltd, a care services provider.
"Account holder" assumes responsibility for anything an authorised user, who signed up to search for carers, home care, got engage with our carer/carers through Maheeda Grey Carers and enter into service agreement with carers and client/clients.
“Primary account holder” means you must be 18 years old to sign up to use our services.
" Commercial /institutional holder” this means not a private care. Care homes, local council, NHS, traditional agencies that use our carers, platform.
"Care recipient" An individual receiving care/services (rather than any applicable Attorney, Deputy or Guarantor); or any incorporated body under any form of incorporation receiving care through Maheeda Grey Carers. The account holder, person receiving care can be the same.
"Carer,"(s) "care assistant," "care worker," and "personal assistant" are all interchangeable terms used to describe approved carers on the Maheeda Grey Carers platform.


“Guarantor” (s)means a person other than the Customer (for example a friend or relative) who accepts personal liability for paying the fees.
“Hourly care” means home care services, visiting care or nursing care which is provided other than on a live-in basis.
“Live-In care” means home care services provided by a Carer living with the Customer in their own home.
"Client"(s) is the term used to describe an account holder in the context of their contractual relationship with a carer.
“Patient”(s) Means the person receiving care. However , they may also be reffered as client.
"Platform" refers to the digital platform operated by Maheeda Grey Carers Ltd for the provision of care services.
"Fine” means the fee that Maheeda grey is entitled to charge clients or carers if you pay directly into carers account, offer jobs to our carers to employ or hire them for example directly offer them jobs, the carer we sent to you that you met through Maheeda Grey. It's caries a fine of £3000 which must be paid within 5 days of discovery.
"Care service agreement" is the initial agreement generated between the carer and the account holder on the platform – it is the basic contract between the care worker and the account holder.
"Shift invoice" is the regular (or one-off) invoice created by the care worker via the platform for the approval and payment by the account holder.
"Vaccine" currently relates to any Covid-19 vaccine (either first or subsequent doses) administered to an approved carer.

As the technology Online Introductory Platform, Maheeda Grey Carers LTD is not regulated by the CQC’ Care Quality Commission, However we comply with all the regulations and standards set by other regulatory bodies such as Care Inspection Scotland, RQIA and expect all our employees, suppliers and approved carers to equally aspire to meet the standards and to ensure the safety and quality of our service

Terms 
These Terms & Conditions ("T&Cs") govern the use of the Maheeda Grey Carers platform and the provision of care services by approved carers. By using the platform or engaging with a carer, you agree to comply with these T&Cs.

INTRODUCTION
About the Maheeda Grey Carers Platform
2.1 Maheeda Grey Grey Carers is an online Platform for self-employed carers to find work with client and vise versa. It is a cloud and online based health tech introductory platform for health and social care filtered by skill, area and time availability. The Maheeda Grey Carers platform facilitates the connection between account holders and approved carers for the provision of care services.
2.2 Platform Provision 
Maheeda Grey Carers Ltd provides the platform and related services, including vetting and background checking of carers, insurance cover, and facilitating payments between account holders and carers.
2.3 Managed Client Care.
Maheeda Grey Carers Ltd does not directly provide care services but acts as an intermediary to connect account holders with approved carers. The provision of care services is the responsibility of the carers.
2.4 Platform Constraints & Waivers 
Maheeda Grey Carers Ltd reserves the right to impose constraints on the platform's use or waive certain terms as deemed necessary or appropriate.
The care agreement will come to an automatic end in the event of death, we will charge for services which we were due to be delivered within 48 hours 
If shift isn't cancelled within 48 hours, we will charge for those service /services which were due to be delivered.
2.5 Communications 
Communication between account holders and carers should primarily take place through the Maheeda Grey Carers ltd, to ensure transparency and facilitate record-keeping.
The Platform
3.1 Vetting and Background Checking of Carers 
Maheeda Grey Carers Ltd conducts vetting and background checks on carers to ensure their suitability, for providing care services. However, the ultimate responsibility for selecting and engaging a carer rest with the account holder. Our checks are extensive, and this includes thorough background checks by Government approved agency called Yoti, DBS checks to check if any criminal activities  including any past convictions or cautions, reference checks and interview process to assess their experiences and if suitable for working with vulnerable individuals. 


3.2 Insurance Cover 
Carers approved by Maheeda Grey Carers Ltd are required to have appropriate insurance cover. Account holders should review the carer's insurance details provided on the platform and seek further information if necessary.


3.3 Account Holder/Care Recipient/Carer Code of Conduct 
Account holders, care recipients, and carers are expected to adhere to a code of conduct that promotes professionalism, respect, and the highest standards of care provision. Any breaches of the code of conduct should be reported to Maheeda Grey Carers Ltd.
Paying for Care 
Account holders are responsible for paying for the care services provided by carers through the Maheeda Grey Carers Ltd, Payment details and procedures will be outlined in the Care service agreement and communicated through the company.
Legal Contract 
The Care service agreement between the account holder and the carer constitutes a legal contract that governs the provision of care services. The terms of the Care service agreement, including the scope of services, rates, and any additional terms, should be mutually agreed upon by the account holder and the carer through the company.


Confidentiality
The carer agreed not to use or disclose to any person either during or at any time after the termination of this agreement any confidential information about the client or the person receiving care which may come out of the carer's knowledge while providing the service, except where and to the extent that the client or the person receiving care authorizes the use or disclosure of confidential information in writing or if the carer is obliged to disclose any such confidential information by law


User Conduct and Disputes 
Account holders and carers are expected to conduct themselves in a professional and respectful manner when using the Maheeda Grey Carers working with each other . Any disputes or conflicts should be reported to Maheeda Grey Carers Ltd for resolution.


Providing Services
We will provide the Services to you with reasonable care and skill and in accordance with the dates set out in the Support Plan and as discussed, this must be written within the care service agreement. The minimum period for the provision of Live-in Care is three days, unless otherwise agreed initially with client and carers. If no end date is set out in your Support Plan, the Care Agreement will continue until it is terminated in accordance with these Terms. If you ask the Carer to leave early, you will still be charged for the whole of the planned visit If this happens, we will discuss with you whether the Support Plan /care agreement needs to be changed to better reflect your needs and requirements and how this will impact your fees.


Issues with Care Services 
In the event of any issues or concerns regarding the care services provided, account holders should notify Maheeda Grey Carers Ltd promptly. We will make reasonable efforts to address and resolve such issues in a timely manner.


YOUR ACCOUNT
8.1 To register an account and use the platform, if you are an individual, you must be at least 18 years old. If you are registering as a carer, you must be at least 21 years old. Maheeda Grey Carers Ltd reserves the right to refuse any registration request or cancel authorized accounts without notice.
8.2 Upon registration, you may be required to provide the following information:
(a) Personal information, including name, age, home address, email address, and phone number(s).
(b) Details of the care required and confirmation of authority if arranging care services for someone else.
(c) Payment information.
(d) For carers, copies of ID documents (such as passports), national insurance and UTR numbers, copies of background checks, evidence of qualifications, and trade body memberships.
(e) Information on how care services will be funded.
(f) Any other information deemed necessary or reasonably requested by Maheeda Grey Carers Ltd.
8.3 It is your responsibility to ensure that the information in your accou
nt is accurate, up-to-date, and kept updated through the platform.


Payments and Maheeda Grey Carers Fees
9.1 Advanced payment is payable against a shift for what the carer agreed to charge. We use payment system called STRIPE. We create a Care service agreement (an initial agreement generated between the carer and an account user) and invoice either a one-off or regular shift invoice then send it to a client and the carer. If the Care service agreement is not approved the carer must not attend the shift. once a Care service agreement included our terms & conditions (T's & C's). Once the Care service agreement is accepted, both the client and carer are bound by the T's & C's of that agreement. When a client enters into a Care service agreement with a carer with us both are bound by the terms of that agreement, if the carer rate is agreed by the client, and the care worker, Maheeda Grey will charge clients 8% + VAT 12% which will be added to the rate of the services provided and charge carers 10% + VAT 20% for carers that get jobs through the platform, telephone, emails, WhatsApp messages. And will be added to the rate.  VAT is only applicable to Maheeda fees. we reserve the right to alter its fee structure at any time which may include charging different fee rates and service charges as necessary.
A care worker sets his or her rates which are visible to clients online, then we invoice clients (this is explained better in Ts and Cs) from our payroll to be paid directly to us.
Payments are paid in advance against any shift. If a carer is subsequently discovered to have contracted with a client off  Maheeda Grey Carers platform, both the client and the carer will be fined £3,000  + VAT each and charged the full value of the fees unpaid.
We accept transfers to our business accounts and all major UK cards.
9.2 Payment transactions are subject to validation checks by your payment provider. Maheeda Grey Carers Ltd is not responsible for any decline or refusal of payment by the payment provider, nor for any additional fees charged by the payment provider.
9.3 Account holders agree:
(a) Not to make payments to carers outside of the Company , when working with client/clients or enter into direct agreements that seek to avoid Maheeda Grey Carers fees or receive care services from carers introduced as mentioned above , even after ceasing to use the platform.
(b) That a breach of this section may result in the immediate termination of their account and right to use the platform.
(c) That if an account holder directly engages a carer introduced through the Maheeda Grey Carers Ltd , the account holder shall be liable for the Maheeda Grey Carers placement fee as specified in the terms and conditions. This fee, along with associated administration costs and interest, must be paid within the specified timeframe.


9.4 VAT
Maheeda Grey Carers Ltd charges VAT on its fees, in accordance with applicable VAT laws. Carers providing services to clients are currently not required to charge VAT on their services.

PLEASE NOTE: if you do not pay our invoice before service, we may suspend the services with immediate effect until you have paid for the service required. We will contact you in advance. If we suspend the services, this does not affect our right to charge you interest.
Cancellations and Refunds


10.1 Cancellations 
Cancellations of care services should be communicated promptly and in accordance with the agreed terms specified in the service agreement.
10.2 Refunds 
Refund policies for cancellations or other circumstances will be outlined in the service agreement. Account holders should refer to the agreement for details on refund eligibility and the process for requesting a refund. Maheeda Grey Carers Ltd will make reasonable efforts to facilitate refunds in accordance with the agreed terms.
10.3 You have the right to cancel the service before 48hours , without giving any reason or
else full payment will be paid
Requests for refunds made after a 48-hour period from the end of the care shift may be subject to additional considerations and evaluation by Maheeda Grey Carers Ltd. Refunds in such cases will be determined on a case-by-case basis.
Data Protection and Privacy 
We collect the data that you share with us whilst using the service and data you generate whilst using the service. Maheeda Grey Carers Ltd values your privacy and will handle your personal information in accordance with applicable data protection laws and its Privacy Policy. Maheeda Grey endorses and adhere to the eight principles of Data Protection Act. By using the platform, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy.
Access to the Platform 
Maheeda Grey Carers Ltd grants account holders and approved carers a limited, non-exclusive, non-transferable right to access and use the platform in accordance with these T&Cs. This right is subject to compliance with the T&Cs and any additional guidelines or policies provided by Maheeda Grey Carers Ltd.
Platform Rules 
Account holders and carers are required to comply with any rules or guidelines provided by Maheeda Grey Carers Ltd regarding the use of the platform. Failure to comply with these rules may result in the termination of your account and access to the platform.
Intellectual Property Rights and Confidentiality 
Maheeda Grey Carers Ltd retains all intellectual property rights associated with the platform and its contents. Users are prohibited from reproducing, distributing, or using any intellectual property belonging to Maheeda Grey Carers Ltd without prior written permission. Users also agree to keep any confidential information obtained through the platform confidential and not disclose it to any third parties.
Platform Content 
The content provided on the Maheeda Grey Carers platform, including information about carers and care services, is for informational purposes only. Maheeda Grey Carers Ltd does not endorse or guarantee the accuracy, completeness, or reliability of such content.
Choosing a Carer 
Account holders have the responsibility to select a carer that best meets their needs and requirements. Maheeda Grey Carers Ltd provides information and tools to facilitate the selection process but does not endorse or guarantee the performance or suitability of any carer.
Platform Links 
The Maheeda Grey Carers platform may contain links to third-party websites or resources. Maheeda Grey Carers Ltd is not responsible for the availability, accuracy, or content of such external sites or resources. The inclusion of any links does not imply endorsement by Maheeda Grey Carers Ltd.


Liability 
Maheeda Grey Carers Ltd shall not be liable for any damages, losses, or claims arising out of or in connection with the use of the platform or the provision of care services. Account holders and carers agree to indemnify and hold Maheeda Grey Carers Ltd harmless from any such liabilities.
Platform Risks and Carer and Client Safety 
Account holders and carers acknowledge and accept that the provision and receipt of care services through the platform involve inherent risks. Maheeda Grey Carers Ltd advises users to take appropriate precautions and exercise due diligence in their interactions and arrangements.
Breaches of Maheeda Grey Carers Terms and Conditions 
Any breaches of these T&Cs may result in the termination of your account and access to the platform. Maheeda Grey Carers Ltd reserves the right to take appropriate legal action for any violations.
Liability Cap 
To the maximum extent permitted by applicable law, Maheeda Grey Carers Ltd's liability to any user shall be limited to the amount paid by the user for the specific care services in question during the six-month period preceding the event giving rise to the liability.
General 
These T&Cs constitute the entire agreement between the account holder, carer, and Maheeda Grey Carers Ltd regarding the use of the platform and the provision of care services. Any modifications or waivers of these T&Cs must be in writing and signed by all parties.
Vaccinations 
Maheeda Grey Carers Ltd may require carers to provide proof of vaccination, including any Covid-19 vaccinations, as part of the vetting process. Compliance with vaccination requirements is necessary to ensure the safety and well-being of care recipients.

We may work with third parties examples like marketing and  advertising networks, search information providers, reference agencies, credit reference agencies, insurance companies.  We delete all information about you, where required by law and on your direct request. We also remove information that we consider inappropriate or no longer relevant at our sole discreation.


Privacy statement

SPECIAL TERMS BETWEEN CLIENT AND CARER : 
(Special terms agreed between the client and carer)
''The client agrees to engage the carer and the carer agrees to provide the service to the person receiving care from the service start date or until this agreement is terminated in accordance with it terms) The carer shall provide the service with all due reasonable care skill and ability”
“The client and carer agreed that they have been introduced to each other, however, they met now through the MAHEEDA GREY CARERS platform and have each accepted the term and conditions of business of Maheeda Grey Carers LTD.”
In particular, they both agreed that if either party attempts to transact off the platform, they have breached the Maheeda Grey careers T's and C's and safeguarding rules and will be charged the sum of £3000 with a lawyer immediately writing them and be removed permanently from the platform completely.
